Zepto IPO: Zepto has completed the pre-IPO private placement of equity with its major shareholders. The company said that its current focus will remain on business expansion and better performance.

The quick-commerce company Zepto on Saturday said that it has entered into an agreement with large shareholders to complete the pre-IPO private placement of equity before listing on the stock market in order to strengthen its balance sheet. The company said that this fundraising will further strengthen the company's balance sheet. The company informed that the new funding will be added to its existing cash reserve of Rs 5,681 crore. The company had no debt as of March 31, 2026.

According to PTI, the company said that under the IPO process, the board and founders have received positive proposals from public market investors for listing. However, keeping in view the strong financial position, the company's entire focus will currently remain on business expansion and better operations.

Zepto will update its Draft Red Herring Prospectus (DRHP) based on the financial results of the coming quarters and plans to bring the IPO within the timeline set by SEBI.

Pre-IPO fund at Rs 42,925 Crore valuation

According to reports, Zepto is raising pre-IPO funds at a valuation of about Rs 42,925 crore. A major portion of this investment is expected to come from domestic investors, due to which the Indian shareholding in the company will increase further to more than 40 per cent. However, this valuation is lower than the $7 billion valuation in October 2025, when the company had raised $450 million.

Founded by Aadit Palicha and Kaivalya Vohra, who left Stanford University, Zepto had filed initial IPO documents in December 2025 through the confidential pre-filing route. As per the updated draft filed in June 2026, the company will issue fresh shares worth Rs 8,010 crore. Apart from this, existing investors will sell 11.35 crore equity shares through Offer for Sale (OFS).

Zepto has 1,139 stores across the country

In FY 2025-26, Zepto's operational revenue was Rs 22,624 crore, while Net Revenue Value (NRV) was Rs 24,816 crore. During this period, the company processed an average of 17.5 lakh orders per day, which increased to 23.3 lakh orders per day in the March 2026 quarter. As of March 31, 2026, Zepto had 1,139 stores across the country and its annual transacting user base was around 4.8 crore. After listing on the stock market, Zepto's competition with Swiggy's Instamart and Eternal's Blinkit will become even fiercer.
